SLAMCI Terms and Conditions

Please read the following terms and conditions carefully when transacting with Sun Life Asset Management Company, Inc. (“SLAMCI”) and/or using any SLAMCI Online Channels. You should review these terms and conditions regularly as they may change at any time.

In this document, “SLAMCI Online Channels” (or “online channels”) may refer to any electronic facilities (e.g., this website), benefits or services including, but not limited to, online portals (i.e., My Sun Life Client Portal and Mobile App), payment systems (i.e., Sun Life Online Payment Page), disbursement applications, or online (“interactive”) forms available for you to carry out financial and non-financial transactions (e.g., additional investments, redemptions, fund switches, personal information updates) or communicate with us electronically.

By transacting with us whether in our traditional channels or online channels, you acknowledge that you have read these terms of use and agree to them. If you have any questions about these terms of use, please contact us by e-mailing sunlink@sunlife.com or calling (+632) 8849-9888.

I. Use of SLAMCI online channels

You may be required to input your personal information before you can use our online channels. Please note that while we have put in place security measures to safeguard your information, we do not guarantee that any information you provide will neither be intercepted by others during transmission nor completely protected from alteration, loss, etc. You shall exclusively bear the risk and any damage for using the online channels and communicating with us electronically. All our products and services are subject to the terms and conditions of any applicable agreements. By investing in mutual funds, you declare that you are performing such transactions while in the Philippines, and the source/s of payment (e.g., bank account, electronic wallet) you made through our online payment systems is/are under your name.

The online channels are not intended to provide you with any personalized financial, accounting, legal or tax advice. It should not be used as a substitute for personal advice from an appropriate professional advisor.

Information provided on the online channels is believed to be reliable when posted. However, we cannot guarantee that information will be accurate, complete, and current at all times. All information in SLAMCI’s online channels is subject to modification from time to time without notice.

We will make every reasonable effort to provide you access to our online channels. However, there will be occasions when the online channels will be unavailable for use or times when we find it necessary to shut down our the SLAMCI online channels for a period of time for maintenance, updates, force majeure and other reasonable adjustments. We do not warrant that the materials, features, or service will be error-free, as they are provided "As is" and without warranties of any kind, either express or implied. Your use of the SLAMCI Online Channels shall be entirely at your risk. The Sun Life group of companies will not be responsible in any manner for any harm, loss, opportunity loss, or damage, however caused, arising out of your use of the SLAMCI Online Channels, including direct, indirect, special, third party or consequential damages. We will not be responsible for any detrimental reliance that you may place upon the SLAMCI Online Channels or its contents.

You may not copy, reproduce, distribute, publish, post, upload, transmit, adapt, modify or create derivative works of or from, publicly display or perform, or in any way exploit any content, without prior written permission from the owner. The contents of the SLAMCI Online Channels are protected by copyright. You may not use the name "Sun Life Prosperity Funds," "Sun Life" or "Sun Life Asset Management" or any mark, logo, or trade name for whatever purpose, without prior written permission from us.

We retain all right, title, and interest in the SLAMCI Online Channels and any intellectual property rights resulting from or related to your use of the SLAMCI Online Channels, such as but not necessarily limited to applications, programs, web pages, solutions, marketing materials, audio and/or visual presentations and all other matters that may be assigned, registered, transferred, owned or encumbered. We reserve all rights not expressly granted.

You may not reverse engineer, disassemble, or decompile, derive code or materials from, or capture any source, scripts, layouts, design, metadata, or other information accessible through the SLAMCI Online Channels (including, without limitation, data packets transmitted to and from the SLAMCI Online Channels), or analyze, decipher, "sniff", derive code or materials from any packet stream to or from the SLAMCI Online Channels, or attempt any of the foregoing. You expressly waive any legal rights you may have to do any of the foregoing.

Further, in using our online channels, you may not:

  • Violate these terms of use, infringe upon our rights or the rights of others (including, without limitation, intellectual property rights, rights of privacy such as unauthorized disclosure of a person's name or email or physical address or phone number, and rights of publicity), or violate any laws.

  • Conduct or solicit illegal or other activity that in any way harms us or any of our affiliates and business partners.

  • Disguise the origin of any message, communication, or transmittal you send to us.

  • Use any robot, spider, scraper, or other automated or manual means to access the online channels, or copy any content or information in the SLAMCI Online Channels.

  • Attempt to gain unauthorized access to any portion of the SLAMCI Online Channels or any related networks or systems by hacking, password "mining", or any other illegitimate means.

  • Probe, scan, test the vulnerability of or breach the authentication measures of, the SLAMCI Online Channels or any related networks or systems.

  • Modify or reroute or attempt to reroute the SLAMCI Online Channels.

  • Link to the SLAMCI Online Channels from any unsolicited bulk messages or unsolicited commercial messages ("spam").

  • Utilize framing, squeeze back, overlay or do other techniques to enclose or display the SLAMCI Online Channels or any content on the SLAMCI Online Channels, with any other software or content of a third party.

  • Take any action that places a disproportionately large load on the SLAMCI Online Channels or any related networks or systems.

  • We reserve the right, but not the obligation, to investigate and take appropriate legal action against anyone who we believe is violating these terms and conditions, including without limitation, removing any materials or suspending or terminating their right to use of the SLAMCI Online Channels.

Any online acknowledgments or other messages which appear on your screen for transactions entered do not mean that the transactions have been received, accepted, or rejected by SLAMCI. These acknowledgements are only an indication that the transaction information you entered has either been transmitted or cannot be transmitted to SLAMCI. No transaction shall be deemed accepted until you receive a written confirmation from SLAMCI. You are responsible for reviewing all confirmations received by you in order to verify their accuracy.

If you do not receive a written confirmation within five (5) business days of a transaction, you agree to immediately notify SLAMCI. SLAMCI reserves the right to accept or decline investments in the Sun Life Prosperity Funds pursuant to the requirements of the law or its policies. Only cleared funds will be allowed for investment in the Sun Life Prosperity Funds.

Your electronic or digital signatures or sign-in-wraps utilized in the SLAMCI Online Channels shall have the same force and effect as a manual signature and you authorize us to act upon any instructions, application, notices or requests, pertinent to the services to which you have either enrolled or utilized through the SLAMCI Online Channels, and sent using your unique electronic identification (i.e., account name and password). You acknowledge that any instructions, notices, or requests using your electronic identification can be relied upon by us to be your instructions, application, notices, or requests. We shall not be liable for acting upon such instructions, notices or requests nor shall we be obliged to investigate the authenticity or authority of persons effecting or delivering your instructions, notices or requests or verify the accuracy and completeness of such instructions, notices or requests. Such instructions shall be deemed correct, complete, irrevocable, and binding upon our receipt. You further accept full responsibility in ensuring the accuracy and completeness of your information, instructions, notices, or requests. We shall act only on those instructions, notices or requests, which we actually receive, and you agree that we do not assume any responsibility for malfunctions or delay in communications facilities that are not under our control. You also agree that it is within our absolute discretion whether to act or when to act upon such instructions, notices, or requests. Instructions, notices, or requests sent to us shall only be considered received upon our acknowledgement of actual receipt.

You acknowledge that we have the discretion to modify, restrict, deny, cancel, suspend, approve, continue or discontinue any of the e-service to which you have enrolled or which you have utilized, without any need to notify you, and that we do not assume any responsibility for technical errors, malfunctions, failure to access, delay or any similar occurrences. You are responsible for keeping your information, username, password and for the proper use of our online channels. Any damage which you or we or other third party may suffer due to the misuse of our online channel by you or another party using your account with or without your knowledge or consent, shall be your responsibility. You further agree that you shall hold us free and harmless from and shall indemnify us against any and all proceedings, claims, losses, damages or expenses arising from or in connection with the use or misuse of the online channels through your account name and password, whether by you or another party with or without your knowledge.

You shall be solely responsible for any transaction between you and your external providers such as but not limited to, your internet service provider, your bank, your credit card company, and all other third party institutions, financial or otherwise, which you use in relation to the SLAMCI Online Channels. You agree not to implead and hold us free and harmless from any dispute or issue between you and said external provider.

Neither we nor any of our respective licensors or suppliers will be liable to you under any theory of liability, for any indirect, incidental, special, consequential, punitive, or exemplary, or other damages arising out of your use or inability to use the SLAMCI Online Channels or any services or information available through them, including, but not limited to loss of revenues, loss of profits, opportunity loss or loss or corruption of data, even if advised of the possibility of such damages.

In compliance with the Know-Your-Client (“KYC”) requirement of the Anti-Money Laundering Act (“AMLA”) and its Implementing Rules and Regulations and to implement the approval of the Securities and Exchange Commission on electronic KYC, an account verification will be conducted using SLAMCI-approved information and communication technology tools, or via face-to-face at selected Client Service Centers on your first redemption or once your investment has reached the online investment threshold. Internet payment gateway ("IPG") transaction costs will not be refunded to the Investor/Applicant.

You understand, accept, and comply with the pertinent Mutual Funds’ latest prospectuses, and all the laws, regulations, and policies governing the investment. If SLAMCI believes that you may be involved in any potentially fraudulent or suspicious activity, it may take any action to protect Sun Life and its agents, including but not limited to, cancelling your application/transaction as a result thereof.

Your obligations, acknowledgements, and agreements to these Terms and Conditions shall remain effective even after de-registration.

Any and all issues, interpretation, agreements, acknowledgements, regarding the SLAMCI Online Channels, or its terms of use, shall be governed by the laws of the Philippines, and the venue shall strictly and exclusively be the City of Makati, Philippines.

You also agree and acknowledge that:

  • Any request for reversal must be submitted to us before submitting to your appropriate third-party provider.

  • We may coordinate with your agent/advisor if any, the terms of the requested reversal, if we deem it is necessary.

  • We shall endeavor to notify your third-party provider of your request for reversal only upon our determination that such request is valid. We shall have sole discretion in the determination and approval of your request.

  • You shall be solely responsible for following up on the actions taken by your third-party provider.

  • A pending request for reversal shall not suspend the payment of any obligation or extend any period to settle an obligation, which you may have on your policy or account

 

II. Transaction terms  and conditions

The following transaction terms and conditions are in addition to the terms and conditions found in our paper and online forms.

Any person of legal age, regardless of citizenship or nationality, may hold shares/units of the Fund(s).

The principal amount of investment shall purchase the corresponding number of Fund shares/units at the applicable Net Asset Value Per Share (NAVPS)/Net Asset Value Per Unit (NAVPU), less any sales load and taxes. The applicable NAVPS/NAVPU will be used for purchases made within the daily cut-off time.

SLAMCI shall honor valid redemption and fund switch requests any day it is open for business. A duly-endorsed Stock Certificate/Certificate of Participation, if issued, shall serve as proof of redemption. Shares/Units of the Fund will be redeemed using the applicable NAVPS/NAVPU at the close of business on the same day, less any applicable charges and taxes, if SLAMCI receives the redemption and fund switch request by the cut-off time. If the request is received after the cut-off time, the price will be the applicable NAVPS/NAVPU of the next business day. Applicable NAVPS/ NAVPU to be used for switch-in will be based on the applicable settlement date of each Fund. Proceeds from the request, less fees and taxes (if any), shall be available within seven (7) banking days from the receipt of the request. SLAMCI reserves the right to change the daily cut-off time as may be allowed by law.

You agree to hold SLAMCI, its affiliates, employees, and agents free and harmless from and against any and all claims, losses, including opportunity loss, damages, or expenses due to failure or delay to process your transaction(s), or inability to accept your transaction(s), except those claims, losses, damages, or expenses directly arising from SLAMCI’s fraud, willful misconduct, or gross negligence.

SLAMCI reserves the right to accept or reject any application at its sole discretion, as determined by the law or its policies. If this application is not accepted in whole or in part, SLAMCI will refund the corresponding investment to the investor without interest, within ten (10) business days from the date of submission of this application. SLAMCI is authorized to close your account(s) or effect any adjustments on any of your account(s), to correct any error or mistake committed, without need for any further instrument or consent.

A Stock Certificate/Certificate of Participation shall be issued upon a written request from the investor. Shareholders/Unitholders who do not elect to receive Stock Certificates/Certificates of Participation have the same rights of ownership as if certificates had been issued to them.

This application and related documents shall be governed by and interpreted in accordance with local or foreign laws that apply to SLAMCI. Any legal action arising thereupon shall be filed exclusively before the courts of Makati City, Philippines.

This application is governed by the terms and conditions of the Prospectuses of the Sun Life Prosperity Funds.

You will inform us within thirty (30) calendar days of any change in your circumstances, including but not limited to citizenship, and submit the applicable documents accordingly. You likewise acknowledge SLAMCI’s statutory responsibility to provide your information, including but not limited to local or foreign tax status, to the appropriate authority.

You agree that SLAMCI shall process your personal data to: a) evaluate your application and administer your account; b) process transactions and enforce/fulfill contractual rights/obligations; c) improve the provision of products and services (including improvement in systems and business processes, data analytics, automated processing, etc.); d) comply with legal obligations, as well as laws and regulations (domestic or foreign); and e) manage risks and pursue its legitimate interests, including verification and obtaining additional personal data from third party sources. SLAMCI may disclose your personal data to its affiliates, service providers, and other third parties for processing consistent with the foregoing purposes, who shall be bound by contractual or other reasonable means to protect your personal data.

Your personal data shall be retained throughout the existence of your account(s) and/or upon the later of the expiration of the retention limit set by Company standards, laws and regulations, counted from account closure. Your rights include the right to be informed, access your data, rectify errors, object to processing, and file a complaint. For more information about your rights and how we protect your data, you may access our privacy policy at https://online.sunlife.com.ph/privacy.  Should you have any concerns in relation to your rights or the processing of your personal data, you may get in touch with our Data Protection Officer at privacyconcern@sunlife.com.You certify that you understand and agree with the declarations and authorizations above and SLAMCI’s privacy policy at https://online.sunlife.com.ph/privacy.

If applicable, you confirm that you have received, read, and understood the Funds’ prospectuses, and that your MF Advisor/ RM/ Broker has explained to you the financial statements, fundamental benefits and risks, policies, terms and conditions, and pricing and other costs associated to the product.

You understand that SLAMCI reserves the right to provide recommendations for products offered by its affiliated companies, which may entail limited product availability. These recommendations may also be influenced by commissions or rebates received by the Company and/or its financial advisors.

Unless otherwise modified by the Fund(s), shareholders have the following rights:

1. Voting Rights – Each holder of a share in the Fund is entitled to one vote, in person or by proxy, for each share held by such shareholder.

2. Distribution of Dividends – Each shareholder has a right to any dividends declared by the Fund.

3. Denial of Pre-emptive Rights – No stockholder shall, because of his ownership of stock, have pre-emptive or other right to purchase, subscribe for, or take any part of any other securities convertible into or carrying options or warrants to purchase stock of the Fund.

4. Right of Redemption – The holder of any share of the Fund, upon its presentation to the Fund or to any of its duly authorized representatives, is entitled to receive by way of redemption approximately his proportionate share of the Fund’s current net assets or the cash equivalent thereof. Payments for the redeemed shares shall be made within seven (7) banking days from receipt of the request for redemption.

5. Modification of Rights of Shareholders – The rights of shareholders of the Fund shall not be modified except by amendment of the Fund’s Articles of Incorporation and/or By-Laws.

6. Dissolution Rights – Upon dissolution of the Fund, the Fund shall payout the applicable redemption price to its shareholders under a distribution process to be determined by the Board of Directors of the Fund. The Fund shall submit a Redemption Plan to the Commission prior to its dissolution.

7. Notification Rights – Shareholders are entitled to be notified of any material change to the Registration Statement and the Subscription Agreement. Shareholders shall be notified of any material change/s to the Registration Statement and/or the Subscription Agreement at least thirty (30) days prior to its effective date.

8. Reports and Statements – Shareholders shall receive accounts, reports and statements either in hard/physical copies or by electronic means. The shareholder has the option to request for a physical copy within one month from the notification of availability, and shall receive this within ten (10) business days from the date of written request or whenever practicable in case of any fortuitous events.

Unless otherwise modified by the Fund(s), unitholders have the following rights:

III. Communication

Using and/or communicating with our website, sending email, or otherwise communicating with us via applications and/or devices constitute electronic communication.

By doing so, you agree that:

  • We may communicate with you electronically by posting general notices in the SLAMCI Online Channels.
  • All notices, disclosures, and other communications that we send you electronically satisfy any legal requirement that such communications be in writing; and
  • Any notices are deemed to be given and received on the date we transmit any electronic communication as described above.

We reserve the right to discontinue our interactive web services and to change the terms of its use at any time. Notice may be given to you in writing, by e-mail or by posting such notice on the SLAMCI Online Channels. We may immediately terminate your access to the SLAMCI Online Channels if you violate any of the above terms and conditions. Should you deactivate your account, you will not be able to use the SLAMCI Online Channels or access your data therein using your deactivated account. Upon deactivation, you may no longer be identified using your data. You understand and accept that, your data may continue to reside in the system and may be used by us pursuant to herein terms and conditions. Our online channels are compliant with the privacy legislations of the Republic of the Philippines and we are committed to respecting the privacy of your personal information. It is important to keep in mind, however, that the internet is not a totally secure medium of communication. For this reason, we cannot guarantee the privacy of any information you input on the SLAMCI Online Channels or send to us on the internet. We will not be responsible for any damages you or others may suffer as a result of the loss of confidentiality of any such information sent over the Internet.
